These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between Trizom Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 340, Gandhipath West, Vaishali Nagar, Jaipur, Rajasthan – 302021, India (hereinafter referred to as "Trizom", "Company", "We", "Us", or "Our") and any individual, entity, or organisation ("User", "Client", "You", or "Your") accessing or using the websites located at https://www.trizom.org and https://www.trizom.in (collectively referred to as the "Platform" or "Website") and any services offered therein.
By accessing, browsing, registering on, or using the Platform in any manner whatsoever, You unconditionally agree to be bound by these Terms, our Privacy Policy, Refund Policy, and Disclaimer, all of which are incorporated herein by reference. If You do not agree to these Terms in their entirety, you are advised to immediately cease all use of the Platform.
For the purposes of these Terms, the following definitions shall apply:
1.1 "Services" shall mean all digital marketing services, consultancy, execution, and related deliverables offered by Trizom Private Limited including but not limited to Search Engine Optimisation (SEO), Pay Per Click (PPC) Advertising, Social Media Marketing (SMM), Google and Meta Ads Management, Website Design and Development, Content Marketing, Email Marketing, Online Reputation Management (ORM), Custom CRM Development, and Branding and Creative Design.
1.2 "Platform" shall mean the websites accessible at https://www.trizom.org and https://www.trizom.in, including all subdomains, web pages, landing pages, blog pages, and digital assets hosted therein.
1.3 "User" shall mean any person or legal entity that accesses the Platform, whether or not they engage the Services of the Company.
1.4 "Client" shall mean any User who has entered into a formal service agreement, paid consideration, or is receiving Services from the Company.
1.5 "Content" shall mean all text, graphics, images, videos, logos, brand assets, software, code, data, and other materials published on or made available through the Platform.
1.6 "Intellectual Property" shall mean all patents, copyrights, trademarks, trade secrets, service marks, design rights, database rights, and any other proprietary rights, whether registered or unregistered, subsisting in the Platform, Services, or any deliverable produced by the Company.
1.7 "Third-Party Platforms" shall mean external services, tools, software, or platforms including but not limited to Google Ads, Meta (Facebook and Instagram), LinkedIn, WordPress, and any other technology platform used in the delivery of Services.
1.8 "Confidential Information" shall mean any non-public information disclosed by either party to the other in connection with the Services, including but not limited to business strategies, campaign data, pricing, client lists, and technical methodologies.
2.1 The Platform and Services are available only to individuals and entities who are legally competent to enter into binding contracts under the Indian Contract Act, 1872. Persons who are minors (below 18 years of age), of unsound mind, or otherwise legally disqualified from contracting are not permitted to use this Platform or engage the Services.
2.2 If You are accessing the Platform or engaging the Services on behalf of a company, partnership, trust, or other legal entity, you represent and warrant that You have the legal authority to bind such entity to these Terms, and references to "You" shall include such entity.
2.3 Trizom reserves the unconditional right to refuse access to the Platform, suspend, or terminate any User's access at any time, without notice and without liability, if the Company has reasonable grounds to believe that such User is in breach of these Terms or applicable law.
2.4 Access to certain features, content, or Services on the Platform may require registration or submission of personal and business information. You agree to provide accurate, current, and complete information and to update such information as necessary.
3.1 Trizom provides professional digital marketing services to businesses and individuals globally. The specific scope, deliverables, timelines, and commercial terms of any engagement shall be governed by a separate Service Agreement, Proposal, Statement of Work (SOW), or Purchase Order mutually executed between the Company and the Client.
3.2 These Terms apply to all interactions with the Platform and supplement, but do not replace, any specific service agreement executed between Trizom and a Client. In case of conflict between these Terms and a specific service agreement, the specific service agreement shall prevail to the extent of the inconsistency.
3.3 Trizom operates as an independent contractor and nothing in these Terms or any service agreement shall be construed as creating an employment relationship, partnership, joint venture, agency, or franchise between the Company and the User or Client.
3.4 The Company engages with Third-Party Platforms including Google, Meta, LinkedIn, and others to deliver certain Services. Trizom does not own, control, or warrant the performance, policies, or continuity of such Third-Party Platforms and shall not be held liable for any changes, restrictions, penalties, or suspension imposed by such platforms on Client accounts.
3.5 All performance estimates, projections, ranking forecasts, lead generation targets, or return on investment figures communicated by the Company, whether verbally or in writing, are indicative only and do not constitute a guarantee of results. Digital marketing outcomes are inherently subject to variables including search engine algorithm changes, market conditions, platform policy updates, and competitor activity, which are beyond the Company's control.
4.1 All Content on the Platform, including but not limited to the Trizom brand name, logo, taglines, website design, graphics, written content, code, and proprietary methodologies, are the exclusive intellectual property of Trizom Private Limited and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Information Technology Act, 2000, and other applicable Indian and international intellectual property laws.
4.2 No Content on the Platform may be reproduced, distributed, transmitted, displayed, published, adapted, or exploited in any manner without the prior written consent of Trizom Private Limited.
4.3 Client-Owned Assets: All pre-existing intellectual property provided by the Client to the Company for the purpose of executing Services, including brand assets, logos, content, data, and creative materials, shall remain the exclusive property of the Client.
4.4 Deliverable Ownership: Unless expressly agreed otherwise in a specific service agreement, all final deliverables produced by the Company for a Client shall transfer to the Client upon receipt of full payment for the relevant Services. Prior to such payment, all deliverables remain the intellectual property of Trizom Private Limited.
4.5 The Company retains the right to use anonymised campaign data, performance metrics, and project summaries for internal research, case studies, and portfolio purposes, provided that no Confidential Information or personally identifiable information is disclosed without the Client's prior written consent.
4.6 Any feedback, suggestions, or recommendations provided by Users regarding the Platform or Services may be freely used by the Company without any obligation of compensation or attribution.
5.1 By accessing and using the Platform, you agree to:
(a) Use the Platform and Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations including but not limited to the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection Act, 2019, and applicable data protection legislation.
(b) Provide accurate, truthful, and complete information when submitting enquiries, registering, or engaging Services.
(c) Maintain the confidentiality of any login credentials, account information, or access details provided by the Company.
(d) Promptly notify the Company of any unauthorised access or suspected security breach relating to your account or the Platform.
5.2 You expressly agree NOT to:
6.1 The commercial terms, fee structure, payment schedule, and invoicing arrangements for Services shall be as agreed in the applicable service agreement, proposal, or purchase order.
6.2 All fees are quoted exclusive of applicable taxes unless expressly stated otherwise. Clients are responsible for payment of all applicable taxes including Goods and Services Tax (GST) as per the Goods and Services Tax Act, 2017, and any other statutory levies.
6.3 Payment obligations are absolute and unconditional. Delays in payment beyond the agreed due date shall attract interest at the rate of 18% per annum or the maximum rate permissible under applicable law, whichever is lower, calculated from the due date until the date of actual payment.
6.4 Trizom reserves the right to suspend or terminate Services immediately upon non-payment of due invoices, without prejudice to any other rights or remedies available to the Company.
6.5 Refunds, if applicable, shall be governed by the Company's Refund Policy as published on the Platform and as agreed in the specific service agreement. In the absence of a specific agreement, the following shall apply:
7.1 Both parties agree to maintain the strict confidentiality of all Confidential Information received from the other party in connection with the Services and not to disclose such information to any third party without prior written consent.

7.3 The confidentiality obligations under this clause shall survive the termination or expiry of these Terms or any specific service agreement for a period of 3 (three) years.
8.1 The Company's collection, use, storage, and processing of personal data is governed by its Privacy Policy, available on the Platform, which is incorporated herein by reference.
8.2 By using the Platform and engaging the Services, You consent to the collection and processing of your personal and business data as described in the Privacy Policy.
8.3 The Company complies with applicable data protection laws including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023, to the extent applicable and notified.
8.4 In the course of delivering Services, the Company may access Client data, advertising accounts, analytics platforms, and third-party tools. Such access is used solely for the purpose of delivering the agreed Services and is subject to the confidentiality obligations set out in Clause 7.
9.1 The Platform may contain links to third-party websites, tools, or platforms. Such links are provided for convenience only and do not constitute an endorsement, recommendation, or warranty by Trizom regarding the content, accuracy, or services of such third-party platforms.
9.2 Trizom has no control over and assumes no responsibility for the content, privacy practices, or terms of any third-party website or platform. Users access such third-party platforms entirely at their own risk.
9.3 In the delivery of certain Services, the Company may utilise third-party tools and software including advertising platforms, analytics tools, CRM systems, and content management systems. The use of such tools is subject to the respective terms and policies of those platforms, and the Company shall not be liable for any loss, disruption, or damage arising from the actions or failures of such third-party platforms.
10.1 The Platform and all Content therein are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
10.2 Trizom does not warrant that the Platform will be available at all times, free from errors, viruses, or other harmful components, or that any defects will be corrected.
10.3 To the maximum extent permitted under applicable law, Trizom Private Limited, its directors, officers, employees, agents, and affiliates shall not be liable for any:
arising out of or in connection with the use of the Platform or Services, even if the Company has been advised of the possibility of such damages.
10.4 Notwithstanding anything to the contrary, the aggregate liability of Trizom Private Limited to any Client for any claim arising out of or in connection with the Services shall not exceed the total fees actually paid by such Client to the Company in the 3 (three) months immediately preceding the event giving rise to the claim.
11.1 You agree to indemnify, defend, and hold harmless Trizom Private Limited, its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
12.1 These Terms shall remain in full force and effect for as long as You use the Platform or engage the Services of the Company.
12.2 You may cease using the Platform at any time. Termination of Platform use does not automatically terminate any specific service agreement in force between You and the Company.
12.3 Trizom reserves the right to suspend or permanently terminate Your access to the Platform at any time, with or without notice, if:

13.1 These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, the Companies Act, 2013, the Consumer Protection Act, 2019, and other applicable statutes.
13.2 Any dispute, controversy, or claim arising out of or in connection with these Terms or the Services, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties.
13.3 If the dispute cannot be resolved through negotiation within 30 (thirty) days, the parties agree to submit the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be Jaipur, Rajasthan, India. The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. The language of arbitration shall be English.
13.4 Subject to the arbitration clause above, the courts at Jaipur, Rajasthan shall have exclusive jurisdiction over any matter that is not subject to arbitration or requires urgent interim relief.
14.1 Trizom Private Limited reserves the right to amend, modify, update, or replace these Terms at any time at its sole discretion. All amendments shall be effective immediately upon publication on the Platform.
14.2 Your continued use of the Platform after any such amendment constitutes your unconditional acceptance of the revised Terms.
14.3 It is Your responsibility to review these Terms periodically. The Company may, but is not obligated to, notify Users of material changes through the Platform or by email.
15.1 Trizom Private Limited shall not be liable for any delay or failure to perform its obligations under these Terms or any service agreement to the extent such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, civil unrest, government action, power outages, internet disruptions, or failure of third-party platforms and service providers.
16.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
17.1 The failure of Trizom Private Limited to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of the Company to be effective.
18.1 These Terms, together with the Privacy Policy, Refund Policy, Disclaimer, and any specific service agreement executed between the parties, constitute the entire agreement between the User and Trizom Private Limited with respect to the subject matter hereof and supersede all prior negotiations, representations, warranties, or agreements, whether written or oral.
